{"id":560,"date":"2024-09-08T15:35:46","date_gmt":"2024-09-08T14:35:46","guid":{"rendered":"https:\/\/opre.ro\/?p=560"},"modified":"2024-09-08T15:35:47","modified_gmt":"2024-09-08T14:35:47","slug":"procedura-ofertei-reale-consemnare","status":"publish","type":"post","link":"https:\/\/opre.ro\/index.php\/2024\/09\/08\/procedura-ofertei-reale-consemnare\/","title":{"rendered":"Procedura ofertei reale urmate de consemnare: Analiz\u0103 \u0219i implica\u021bii juridice\u00a0"},"content":{"rendered":"\n<p>Procedura ofertei reale \u0219i a consemn\u0103rii reprezint\u0103 un mecanism juridic complex, care ofer\u0103 debitorului un mijloc eficient de a se elibera de obliga\u021bii, chiar \u0219i \u00een lipsa acordului creditorului. \u00cen acela\u0219i timp, creditorului i se asigur\u0103 dreptul de a contesta validitatea acestei proceduri, asigur\u00e2nd astfel un echilibru \u00eentre interesele p\u0103r\u021bilor.&nbsp;<\/p>\n\n\n\n<p>Procedura ofertei reale, urmate de consemnare, este reglementat\u0103 distinct \u00een func\u021bie de momentul \u00een care aceasta intervine. Poate fi ini\u021biat\u0103 fie pe cale principal\u0103, din ini\u021biativa debitorului, prin intermediul executorului judec\u0103toresc (conform art. 1006-1009 din NCPC), fie pe cale incidental\u0103, \u00een timpul unui proces aflat \u00een desf\u0103\u0219urare (conform art. 1010 din NCPC).<\/p>\n\n\n\n<p><strong>Ini\u021bierea procedurii de c\u0103tre debitor<\/strong><\/p>\n\n\n\n<p>Atunci c\u00e2nd procedura este declan\u0219at\u0103 de debitor, aceasta \u00eencepe cu transmiterea unei soma\u021bii creditorului, realizat\u0103 prin intermediul unui executor judec\u0103toresc din circumscrip\u021bia cur\u021bii de apel unde domiciliaz\u0103 sau \u00ee\u0219i are sediul creditorul. Spre deosebire de reglement\u0103rile anterioare, care men\u021bionau tribunalul, actuala reglementare specific\u0103 clar rolul cur\u021bii de apel. Soma\u021bia nu este doar o invita\u021bie formal\u0103, ci include toate detaliile necesare, precum locul, data \u0219i ora pred\u0103rii bunului sau sumei datorate.<\/p>\n\n\n\n<p><strong>Rezultatele procedurii<\/strong><\/p>\n\n\n\n<p>Procedura ofertei reale poate avea trei posibile finalit\u0103\u021bi:<\/p>\n\n\n\n<p>1. **Acceptarea ofertei** \u2013 Executorul judec\u0103toresc \u00eentocme\u0219te un proces-verbal prin care constat\u0103 acceptarea ofertei, eliber\u00e2nd astfel debitorul de obliga\u021bie.<\/p>\n\n\n\n<p>2. **Neprezentarea creditorului** \u2013 Dac\u0103 creditorul nu se prezint\u0103 pentru a primi bunul sau suma datorat\u0103, executorul judec\u0103toresc \u00eentocme\u0219te un proces-verbal care consemneaz\u0103 aceast\u0103 absen\u021b\u0103.<\/p>\n\n\n\n<p>3. **Refuzul creditorului** \u2013 \u00cen situa\u021bia \u00een care creditorul refuz\u0103 oferta, executorul \u00eentocme\u0219te un proces-verbal similar, document\u00e2nd \u00eemprejur\u0103rile.<\/p>\n\n\n\n<p><strong>Consemnarea sumelor sau bunurilor<\/strong><\/p>\n\n\n\n<p>\u00cen cazul \u00een care creditorul nu accept\u0103 oferta, debitorul are op\u021biunea de a consemna suma sau bunul datorat la o institu\u021bie bancar\u0103, \u00eenso\u021bit de o recipis\u0103 transmis\u0103 executorului. Reglementarea prevede c\u0103 b\u0103ncile sunt obligate s\u0103 accepte astfel de consemn\u0103ri, f\u0103r\u0103 a fi necesar acordul creditorului.&nbsp;<\/p>\n\n\n\n<p>Conform art. 1512 NCC, bunul poate fi consemnat pe cheltuiala \u0219i riscurile creditorului, fapt ce duce la liberarea debitorului. Totu\u0219i, \u00een cazul bunurilor perisabile sau care ar implica costuri dispropor\u021bionate, debitorul poate solicita v\u00e2nzarea acestora prin licita\u021bie public\u0103, cu acordul instan\u021bei \u0219i notificarea prealabil\u0103 a creditorului, a\u0219a cum prevede art. 1514 NCC. Exist\u0103 \u0219i excep\u021bii, cum ar fi bunurile cu valoare de pia\u021b\u0103 sc\u0103zut\u0103, cotate la burs\u0103, care pot fi v\u00e2ndute f\u0103r\u0103 notificarea creditorului.<\/p>\n\n\n\n<p><strong>&nbsp;Dreptul debitorului de a retrage bunurile<\/strong><\/p>\n\n\n\n<p>Conform art. 1515 NCC, debitorul are dreptul s\u0103 retrag\u0103 bunurile consemnate at\u00e2ta timp c\u00e2t creditorul nu a acceptat consemnarea sau aceasta nu a fost validat\u0103 de instan\u021b\u0103. Retragerea anuleaz\u0103 efectele eliberatoare ale consemn\u0103rii, iar datoria ren\u0103scut\u0103 p\u0103streaz\u0103 toate garan\u021biile \u0219i accesoriile aferente.<\/p>\n\n\n\n<p><strong>&nbsp;Efectele retragerii asupra codebitorilor \u0219i fidejusorilor<\/strong><\/p>\n\n\n\n<p>Un aspect important \u00eel reprezint\u0103 efectele retragerii asupra codebitorilor \u0219i fidejusorilor. \u00cen cazul \u00een care retragerea are loc dup\u0103 acceptarea ofertei sau validarea procedurii, creditorul poate pierde privilegiile \u0219i ipotecile asociate creantei, ceea ce poate duce la eliberarea codebitorilor \u0219i fidejusorilor de obliga\u021biile lor.<\/p>\n\n\n\n<p><strong>Liberarea debitorului<\/strong><\/p>\n\n\n\n<p>Dup\u0103 consemnare, executorul judec\u0103toresc emite o \u00eencheiere care constat\u0103 efectuarea pl\u0103\u021bii \u0219i liberarea debitorului, f\u0103r\u0103 a cita p\u0103r\u021bile, \u00een conformitate cu art. 1009 NCPC. Aceast\u0103 \u00eencheiere trebuie comunicat\u0103 creditorului \u00een termen de 5 zile de la emitere, marc\u00e2nd astfel momentul eliber\u0103rii debitorului de datorie, cu excep\u021bia cazului \u00een care oferta \u0219i consemnarea sunt anulate.<\/p>\n\n\n\n<p><strong>Contestarea \u00eencheierii<\/strong><\/p>\n\n\n\n<p>Creditorul are dreptul de a contesta \u00eencheierea executorului judec\u0103toresc \u00een termen de 15 zile de la comunicare, solicit\u00e2nd anularea acesteia dac\u0103 nu au fost respectate condi\u021biile de validitate ale ofertei \u0219i consemn\u0103rii.
